Eidolon, the ("Company", "Eidolon", "we", "us", or "our") is a software development company. With a focus on creating technologies that improve developer experience in both the traditional computing and software spaces as well as in the decentralized industries such as blockchain.

Acceptance of Terms

By downloading, installing, accessing, or using our Products, you are entering into a binding legal agreement with the Company and agree to be bound by these Terms and Conditions, as well as our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these terms, you may not use our Products.

License and Restrictions

All payments are non-refundable, and Eidolon reserves the right to suspend or terminate your access to the Products if any payment is overdue. You are responsible for all charges associated with your use of the Products, including any charges imposed by third parties.

Subscriptions and Automatic Renewal

Certain Products may be offered on a subscription basis. Subscription fees are billed in advance on a recurring basis as stated when you initiated the subscription. Your subscription will automatically renew, and you will be charged the then-current price, unless you cancel your subscription before the renewal date. Eidolon reserves the right to modify the pricing and terms of any subscription at any time, effective upon the next renewal date.

Third-Party Services and Content

Our Products may integrate or require the use of third-party services, content, or other materials (collectively, 'Third-Party Materials'). Eidolon does not endorse or make any representations or warranties regarding the accuracy, reliability, or legality of any Third-Party Materials. You are solely responsible for reviewing and complying with any terms and conditions associated with such Third-Party Materials.

Privacy and Data Collection

You acknowledge and agree that Eidolon may collect, use, and disclose your personal information in accordance with our Privacy Policy. By using our Products, you consent to our collection, use, and disclosure of your personal information as described in the Privacy Policy.

User Conduct and Responsibilities

You are solely responsible for your conduct and any content, data, or information you submit or upload through our Products. You agree not to use our Products for any illegal or unauthorized purposes, or in a manner that violates any applicable laws, regulations, or third-party rights. Eidolon reserves the right to terminate or suspend your access to the Products if we determine, in our sole discretion, that you have violated these Terms and Conditions.

All intellectual property rights in the Products, including but not limited to copyrights, trademarks, trade secrets, and patents, are owned by Eidolon or its licensors and are protected by applicable intellectual property laws. You may not modify, reproduce, distribute, create derivative works from, or otherwise use the Products or any associated intellectual property except as expressly permitted by these Terms and Conditions.

Disclaimer of Warranties

THE PRODUCTS ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Eidolon DOES NOT WARRANT THAT THE PRODUCTS WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability

IN NO EVENT SHALL Eidolon, ITS AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS OR YOUR USE OF THE PRODUCTS, EVEN IF Eidolon HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination

Eidolon reserves the right to terminate or suspend your access to the Products at any time, with or without cause, and without prior notice. Upon termination, your license to use the Products will immediately cease, and you must destroy all copies of the Products in your possession or control.

Indemnification

You agree to indemnify, defend, and hold harmless Eidolon, its affiliates, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Products, your violation of these Terms and Conditions, or your violation of any third-party rights.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Riverside County in California, USA, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms and Conditions or your use of the Products shall be resolved through binding arbitration. The arbitration shall be conducted in Palm Springs, CA, and the arbitrator's award shall be final and binding upon the parties.

Entire Agreement and Severability

These Terms and Conditions, including the Privacy Policy, constitute the entire agreement between you and Eidolon concerning the Products and supersede all prior agreements or representations. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
